What is post-merger integration?

Post-merger integration is the work of combining two companies after a deal closes so the business operates as one and delivers the value the deal was priced on. It covers Day One readiness, the integration management office, synergy tracking, functional workstreams across finance, HR, IT, sales and operations, people and org design, customer continuity, culture, and benefit reporting. The work is also called M&A integration or merger integration. Day One readiness

Day One is an operating event, not a legal one. We build the cutover checklist that keeps payroll running, orders shipping, invoices going out, and employees logged in on the first business morning, then staff a command center for the opening two weeks with an issue log, a triage rhythm, and a named decision-maker in every function.

A chartered IMO with a full-time integration lead, one plan of record, and workstream owners whose regular workload has been formally reduced. Weekly workstream stand-ups, a biweekly steering committee, a single decision log, one escalation path, and one status pack the board reads instead of five competing versions.

Synergy identification and tracking

Cost and revenue synergies get broken to the line item, assigned an owner, baselined against the pre-close run rate, and loaded into the operating budget. We report gross synergy, one-time cost to achieve, and net benefit by month, each reconciled to the general ledger, so the board pack and the accounts show the same number.

How we run post-merger integration

Integration is won in the first 100 days and proven over the twelve months after. Our post-merger integration 100-day plan sets out the same sequence in detail. Every step below carries an owner, a date, and a deliverable.

Planning starts at signing. The decisions that are expensive to reverse, the target operating model, which systems survive, and who leads what, get made early and put in writing while the deal team is still assembled.

Start planning at signing

The signing-to-close window is the cheapest planning time you will get. We use it to set the target operating model, name workstream leads, build the Day One checklist, and turn diligence findings into a costed workplan, with clean-team rules governing what can be shared before close.

Stand up the IMO

A charter, one plan of record, a full-time integration lead, and workstream owners with their day jobs formally reduced. Cadence from day zero: weekly workstream stand-ups, a biweekly steering committee, a running decision log, and one escalation path.

First 30 days: stabilize

Day One executed against the checklist, command center open, reporting lines confirmed, top customers and key employees contacted directly, and payroll and order-to-cash proven in live operation. Structural change waits until the operating base is steady.

Days 31 to 60: decide

Target operating model locked by function, surviving systems chosen and sunset dates set on the rest, org design and selection decisions made, and every synergy line assigned an owner and loaded into the operating budget. The expensive decisions belong here.

Days 61 to 100: execute

Workstream milestones delivered, contracts novated and vendors consolidated, the first system migrations run with reconciliation at cutover, retention agreements signed, and the synergy tracker reconciled to the general ledger at the first monthly close.

Months 4 to 12: capture

Migrations completed, duplicate systems retired on the dates set in month two, revenue synergies worked through the pipeline, and monthly reporting on gross synergy, cost to achieve, and net benefit with a written variance explanation.

Close out on benefit, not tasks

The program ends when finance confirms the run-rate benefit in the P&L, the last duplicate system is off, and the remaining work has transferred to line management with named owners. Close-out criteria are agreed at kickoff so the finish line is not negotiated late.
