What is value creation in private equity?

Private equity value creation is the operating work that turns an entry thesis into exit proceeds. The cycle runs the length of the hold: value creation is underwritten in diligence, converted into a value creation plan with named owners in the first 100 days, executed lever by lever through the hold, and proven in the numbers at exit. BD Emerson builds and runs these programs for funds and their portfolio companies, pairing revenue and margin work with the levers most programs leave out: compliance certifications that open enterprise markets, and technology and AI delivered as EBITDA work rather than IT projects.

  • Revenue growth: pricing, sales effectiveness, and new segments, with capacity gains measured against a baseline.
  • Margin and capital efficiency: cost structure, procurement, working capital, and capex discipline that land in the EBITDA bridge.
  • Technology and AI: automation and data work delivered in-house, sized in dollars of EBITDA rather than IT milestones.
  • Compliance unlocks: SOC 2 and ISO 27001 programs that open enterprise pipelines during the hold and remove buyer findings at exit.

Value creation plan design

The plan is written from diligence, not after it: every finding priced, every initiative tied to the thesis, owners and baselines attached. The output bridges the entry multiple to the exit model line by line, so the board reviews progress against the deal, not against a deck.

More

The 100-day plan

Stabilize the people and customers the thesis depends on, stand up reporting the fund can read, and execute the priced fix list with weekly cadence. The first 100 days set the slope of the entire hold, and they are run like it.

More

EBITDA and margin initiatives

Pricing discipline, procurement and vendor rationalization, process automation, and technology-driven unit cost reduction. Each initiative carries a baseline, a target, and an owner, and lands in the P&L rather than in a maturity model.

More

Enterprise-market unlocks

SOC 2, ISO 27001, and privacy programs that unlock enterprise buyers a portfolio company could not previously sell to. Compliance run as a growth initiative: the certification opens the pipeline, and the same evidence removes buyer findings at exit.

More

Add-on integration

Roll-ups live or die on integration. We run the add-on playbook: day-one readiness, systems consolidation, and synergy tracking against the model, so the platform gets stronger with each acquisition instead of heavier.

More

Quarterly value reviews

A quarterly review that reads like diligence: initiatives against baselines, EBITDA bridge against the model, risks and dependencies named. The fund sees one honest picture per company and a comparable one across the portfolio.

More

Technology and AI as an EBITDA lever

Data, automation, and AI delivered in-house on Palantir Foundry and Databricks, scoped as P&L work: every use case carries a baseline, a target, an owner, and a payback period the board can hold it to.

  • Data foundation and reporting the fund can read
  • Pricing and margin analytics tied to the EBITDA bridge
  • Process automation with unit-cost math attached
  • AI use cases screened for EBITDA impact and payback
  • In-house delivery on Palantir Foundry and Databricks
  • Run-rate savings tracked quarterly against the model
More

Exit readiness and multiple expansion

The exit multiple is built during the hold: audited numbers, durable systems, certifications, and an equity story that survives buyer diligence. Improvements walk into exit proven in the numbers rather than promised in the deck.

  • EBITDA bridge reconciled to the underwriting case
  • Sell-side diligence readiness run by the same firm
  • Certifications and security posture that remove buyer findings
  • Documented systems and reporting a buyer can trust
  • Equity story supported by initiative-level evidence
  • Data room built as a byproduct of the work
More

Carve-outs and portfolio reshaping

Value also comes from what a portfolio company sheds. We identify non-core units against the thesis, run the separation as an initiative with an owner and a timeline, and redeploy capital toward the levers the deal was priced on.

  • Non-core unit identification against the thesis
  • Carve-out financials and standalone cost models
  • Transition services designed to protect the remaining business
  • Day-one operational readiness for the separated unit
  • IT separation planned as a workstream with an owner
  • Proceeds redeployed against the value creation plan

Our approach

Our approach

01

Price the plan in diligence

Value creation starts before ownership does. Findings become initiatives with costs and returns attached, so the plan is underwritten with the deal.

02

Convert the thesis in the first 100 days

The thesis becomes a value creation plan with a named owner, a baseline, a target, and a timeline on every lever. Stabilize the people and customers the deal depends on, stand up reporting the fund can read, and start the priced fixes from diligence.

03

Sequence for compounding

Early wins fund later ones: reporting first, then cost discipline, then the growth unlocks. Each quarter's output is the next quarter's foundation.

04

Measure against the model

The only scoreboard is the one the deal was priced on. Every review reconciles the EBITDA bridge to the underwriting case, in writing.

05

Run technology and AI as EBITDA work

Data, automation, and AI are delivered in-house on Palantir Foundry and Databricks, and every use case carries its own EBITDA math: baseline, target, and payback period.

06

Turn certifications into pipeline

SOC 2 and ISO 27001 are delivered in-house and timed against the enterprise deals they unblock, so certification lands as pipeline during the hold and removes buyer findings at exit.

07

Exit with the evidence banked

Every initiative leaves artifacts a buyer will test: audited numbers, certifications, documented systems. Improvements walk into exit proven in the numbers, and the data room is a byproduct rather than a project.

Our Advantage

Why BD Emerson for value creation

Operators, not observers

We run initiatives to outcomes with named owners and weekly cadence. The review deck is a byproduct of work, not the work.

Levers others leave behind

Compliance certifications, security posture, and AI-driven cost reduction sit outside most value creation toolkits. They are the center of ours.

Exit-aware from day one

The same firm runs sell-side diligence, so every initiative is built to survive the buyer's scrutiny it will eventually meet.

One firm across the cycle

The team that priced the findings in diligence writes the plan, technology and AI delivery stays in-house, and compliance certifications are delivered by the same firm. Nothing gets lost in a handoff between vendors, and the playbook repeats across the portfolio.

We had a hard time finding the right company to partner with in support of our compliance journey. Some vendors sell the idea that they do the work, but then you end up doing everything. The ambiguity is what killed our last project. BD Emerson’s team has such great technical knowledge and understands the standard so well that they made us comfortable with moving fast. This has led to us closing major enterprise customers that were previously out of reach because of security and compliance.

Tom Watkins

CEO @ AMI AssetTrack

Lead an enterprise initiative to overhaul the organization's technology stack from ecommerce, corporate tech, and corporate security.

Supported ISO 42001 exercise and served as internal auditor.

Rubrik's privacy and compliance team began with the backbone of BD Emerson. BD Emerson supported building out the privacy program, GRC (ISO 27001, SOC 2, CMMC, FedRAMP), and the appsec function.

We needed a partner who could move quickly, without sacrificing precision. BD Emerson brought the expertise, structure, and speed we were looking for. Their team became an extension of ours, embedding themselves across the organization, guiding us step by step, and giving us confidence in areas we hadn’t tackled before. The internal audit they conducted was so detailed that even the external auditors called it out. Achieving ISO 27001 with zero nonconformities says everything you need to know about the quality of the partnership.
