M&A Change Management

Most integrations lose value through people: key departures, culture clash, and stalled decisions. We plan and run the human side of the deal from diligence through the first 100 days and beyond.

What is M&A change management?

M&A change management is the people workstream of a deal: keeping employees, customers, and decision-making steady while two organizations become one. Integrations rarely fail on systems alone. They lose value when named critical people leave, cultures collide, decisions stall, and customer-facing teams improvise the story. BD Emerson plans this work before close, within clean-team rules where they apply, and runs it through day one and the first 100 days: communications for employees and customers, leadership alignment and operating cadence, retention plans for named critical people, and adoption of new systems and processes across both organizations. Because we advise from diligence through integration, the change plan inherits what diligence found instead of starting over with interviews.

Pre-close change readiness

Planning that can legally start before close gets done before close: change leadership named, day-one scenarios drafted, stakeholder maps built for both organizations, and clean-team rules observed for anything competitively sensitive. When the deal closes, the first two weeks run a rehearsed plan.

Day-one communications

Employee and customer communications for the hours that set the tone: who is affected, what changes now, what does not, and who to ask. Managers get talking points before the press release posts, and customer-facing teams get answers before customers call with the questions.

Leadership alignment and cadence

The combined leadership team agrees on decision rights, meeting cadence, and the first quarter's unavoidable calls in week one. Decision paralysis kills more integration value than any system cutover, so the operating rhythm starts before the org chart is final.

Retention of critical people

The retention plan is a named list with an owner for every name: who the integration cannot lose, what each person needs to stay, and packages sized to the value at risk. Leading indicators get tracked from announcement day, because regretted attrition shows up in signals before it shows up in resignations.

Systems and process adoption

Both organizations land on new tools and merged processes. We run adoption as a workstream: role-by-role impact across both sides, training wherever the process changed, and usage tracking that gives the synergy model evidence instead of assumptions.

Integration measurement

One dashboard the integration lead and the deal team both read: retention of named critical people, employee pulse deltas, customer churn in acquired accounts, and system adoption rates, reported through the first 100 days and beyond.

Our approach

Our approach

01

Start in diligence

Change risk gets assessed while the deal is still being priced: culture read, leadership depth, retention exposure, and the change load the target already carries. Findings land in the integration thesis, and the change plan inherits them.

02

Plan before close

Within clean-team rules, we draft day-one communications, map stakeholders in both organizations, and build the named critical-people list, so announcement day runs a rehearsed plan rather than a scramble.

03

Run day one and the first 100 days

Communications execute on schedule, leadership works its new cadence, and retention conversations happen in week one. A weekly integration rhythm surfaces issues while they are still small enough to fix cheaply.

04

Measure past day 100

Retention, pulse deltas, customer churn, and adoption rates report monthly against pre-announcement baselines. The workstream closes when the trend holds, and the cadence and dashboard transfer to your integration lead.

Our Advantage

Why BD Emerson for M&A change management

The change plan inherits diligence

BD Emerson advises from diligence through integration. Retention risks, culture reads, and leadership gaps found before signing arrive in the change plan priced and owned, rather than rediscovered by interview in month two.

One calendar with the integration program

The people workstream runs beside our post-merger integration practice on a single plan, so communications, systems cutovers, and the 100-day plan move together instead of colliding.

Measured in deal terms

Retention of named critical people, pulse survey deltas, customer churn in acquired accounts, and adoption rates all tie back to the synergy model, so the dashboard reads in the same terms the deal was priced in.

How We Work

How we run change management across a deal

The people workstream runs the length of the deal, from diligence to sustainment. Each stage produces artifacts the integration keeps: the critical-people list, the day-one runbook, the communications calendar, and the adoption dashboard.

We had a hard time finding the right company to partner with in support of our compliance journey. Some vendors sell the idea that they do the work, but then you end up doing everything. The ambiguity is what killed our last project. BD Emerson’s team has such great technical knowledge and understands the standard so well that they made us comfortable with moving fast. This has led to us closing major enterprise customers that were previously out of reach because of security and compliance.

Tom Watkins

CEO @ AMI AssetTrack

Lead an enterprise initiative to overhaul the organization's technology stack from ecommerce, corporate tech, and corporate security.

Supported ISO 42001 exercise and served as internal auditor.

Rubrik's privacy and compliance team began with the backbone of BD Emerson. BD Emerson supported building out the privacy program, GRC (ISO 27001, SOC 2, CMMC, FedRAMP), and the appsec function.

We needed a partner who could move quickly, without sacrificing precision. BD Emerson brought the expertise, structure, and speed we were looking for. Their team became an extension of ours, embedding themselves across the organization, guiding us step by step, and giving us confidence in areas we hadn’t tackled before. The internal audit they conducted was so detailed that even the external auditors called it out. Achieving ISO 27001 with zero nonconformities says everything you need to know about the quality of the partnership.
